Terms Of Service

Your usage of the Services provided by GENESIS PRO TECHNOLOGY SOLUTIONS CO. L.L.C., referred to as (we), (us), or (our), as described in these Terms, is subject to the following terms and conditions. Before accessing or using the Services, carefully read these Terms. By accessing and utilizing the Services, you agree to abide by these Terms, establishing a legally binding contract between you and Genpro Fintech. If you do not agree to these Terms, refrain from accessing or using the Services.

Registration

To avail yourself of the Services, you must create an account on the Platform with a username and password linked to your phone number and email address ("Account"). You commit to implementing reasonable measures to enforce access restrictions on (a) any device connected to the phone number or email address associated with your Platform Account and (b) any device connected to the same.

Maintain the confidentiality of your username and password obtained during account creation. Promptly report any breach, unauthorized use, or security lapse related to your Account to us.

We retain the right to invalidate any passwords or codes used to access the Platform or identify your activities on the Platform if we suspect a violation of the Terms. Log out at the end of each session to prevent unauthorized Account access.

You explicitly acknowledge accountability for all transactions conducted through your Account. Unauthorized access, such as hacking or security vulnerabilities, leading to unlawful transactions, refund requests, or disputes, will not be our responsibility.

You agree to receive communications from us, including:

  • Information about Platform-based transactions.
  • Company and service updates.
  • Services and special offers from us and our third-party partners.
  • Any other communication related to the Services.

Eligibility

By accepting these Terms and Conditions, you confirm and assure that (a) you are legally of age to enter into and abide by these terms, (b) you are a resident of India, and (c) you possess all the required registrations, licenses, rights, and permissions to enter into and comply with these Terms and Conditions. If you are acting on behalf of a company, organization, or other legal entity, you affirm that you are authorized to bind that entity to these Terms.

Payments

Genpro Fintech will periodically charge fees for the provision of Services as per the agreed terms, rates, and frequency. The fees are subject to change at any time and for any reason, with Genpro Fintech reserving the right to make adjustments. Taxes, if applicable, may be added to the fees, and any tax law changes during the term of these Terms will be your responsibility.

Monthly bills for service fees will be sent by Genpro Fintech for the services provided during that month, and invoices can be accessed on the dashboard. Any disputes regarding an invoice must be communicated to Genpro Fintech within ten (10) days from the invoice date. Genpro Fintech will make good faith efforts to resolve any reasonably disputed amounts.

You are responsible for daily reconciliation of all processed transactions. Any discrepancies must be reported to Genpro Fintech within three (3) business days. Issues with reconciliation must be communicated within three (3) business days of the transaction date. If unresolved, Genpro Fintech will not be held responsible or liable.

Services Scope

  • Genpro Fintech Services

a) In summary, we are a payment gateway company providing services at genprofintech.com As a technology provider, Genpro Fintech facilitates listing services, logistics and payment services, and other value-added services to support your business growth.

b) Please note that neither you nor the products or services offered through the Merchant Dashboard are endorsed by us.

c) You may not link to our Platform from any other platform in a way that: suggests our affiliation, approval, or endorsement unless we provide specific consent; is unlawful; or may harm our goodwill or reputation, intentionally or unintentionally.

If your request to link is denied, you must cease immediately. Contact info@genprofintech.com for permission to link to or use content from our Platform not mentioned above.

  • Payment Aggregation Services

(a) Collaborating with the Payment Partner, Genpro Fintech enhances payment convenience through the Platform. Payment processing is governed by the Payment Partner Terms in addition to these Terms, with Genpro Fintech not responsible for the Payment Partner's actions.

b) You agree to the Payment Partner settling Transaction Amounts with you per the Payment Partner Terms.

  • Access to Services

(a) Depending on your subscription plan, access to certain Service benefits may vary. Each plan has unique features, capabilities, and fees, and we reserve the right to enable or disable specific account features.

(b) If your subscription plan supports auto-renewal, you authorize us to charge you for subsequent subscription term(s). By selecting "auto-renew," your access to the Services will be automatically renewed.

(c) You acknowledge that we may modify Services to comply with legal requirements, and we are not liable if you cannot use specific features due to legal changes.

  • Third-Party Services

(a) The Services may include Third-Party Services, along with links to such services, provided by or licensed to third parties. Use of Third-Party Services is at your own risk, and the third party is solely responsible for them.

(b) We do not make commitments or assume responsibility for outcomes related to Third-Party Services, including accuracy. Your use of Third-Party Services is subject to the terms, conditions, and privacy policies of the offering third parties. Intellectual property rights for Third-Party Services belong to the respective third parties.

Intellectual Property

The Platform and Services, along with all intellectual property rights derived from them, are either owned by us or subject to a license. By complying with these Terms and any provided instructions, you are granted a limited, non-exclusive, non-sublicensable, royalty-free license to utilize the Platform.

Periodically, we may seek feedback from you on the Services, including reports of bugs or security flaws ("Feedback"). Your suggestions may be used, copied, shared, printed, displayed, distributed, and sold by us without requiring your consent, payment, accreditation, or imposing limitations based on your intellectual property rights.

Unless expressly stated otherwise, nothing in these Terms grants a right or license to our intellectual property or that of a third party.

Any content on our website should not be used for commercial purposes without proper authorization from us or our partners. Unauthorized usage violates these guidelines, leading to the immediate forfeiture of your Platform access. In such cases, any copies made must be returned or destroyed.

Your Responsibilities

You affirm and assure that all information provided on the Platform or in connection with the Services is accurate, complete, and current both at the time of agreeing to these Terms and throughout your use of the Services. We disclaim any responsibility or liability for any loss or damage resulting from the submission of erroneous, incomplete, inaccurate, or misleading information or data for the utilization of the Services, or for the failure to disclose any material fact.

You commit to refraining from making any disparaging remarks or criticisms against us or any of our affiliates that could harm our goodwill, reputation, or commercial relationships with the general public, customers, suppliers, or employees, during or after the Term.

In the event of a breach of your obligations or covenants under these Terms, you agree to fully cooperate with us in our defense against any proceedings initiated against us. You may only use the Services as explicitly authorized by these Terms. This includes refraining from actions such as:

  • Copying, displaying, distributing, modifying, publishing, reproducing, storing, transmitting, posting, translating, creating derivative works, or licensing the Services, unless expressly permitted by this agreement.
  • Transmitting data or uploading content containing harmful programs or similar computer code, such as viruses, trojan horses, worms, time bombs, keystroke loggers, spyware, or adware.

Indemnity

You agree to indemnify Genpro Fintech, its parent company, affiliates, officers, associates, successors, assigns, licensors, employees, directors, agents, and representatives from any direct or indirect losses, actions, damages, penalties, costs, expenses, claims, demands, lawsuits, or judicial proceedings (including, but not limited to, damages, liabilities, settlements, costs, and attorneys' fees) related to:

  • Mistakes, misrepresentations, negligence, fraud, forgery, dishonesty, or violations attributable to you, your personnel, agents, or representatives, or any third party using your Account, accessing the Platform, or utilizing the Services in violation of these Terms.
  • Violation of rules or standard practices in your field.
  • Any claim by an authority or a third party arising from your actions or omissions, such as violating these rules or engaging in activities outside the scope of these rules.

Limitation Of Liability

Despite any other provisions, neither Genpro Fintech nor any of its affiliates or related parties shall be held responsible for any indirect, incidental, special, or consequential damages, loss of revenue, or profits arising from these Terms, including actions taken by authorities or Payment Partners. By using the Platform or Services, the user agrees to release Genpro Fintech, its affiliated entities, subsidiaries, parent company, and all directors, officers, employees, and agents from any legal claims, losses, damages, liabilities, expenses, and causes of action arising from their utilization of the Platform or Services, to the maximum extent permissible by law.

Changes To Terms

We retain the right to modify these Terms and Conditions and the Platform at any time. Merchants are advised to review these Terms and Additional Terms each time they access the Platform or use the Services. The use of the Platform and Services will be subject to the Additional Terms and these Terms, as amended periodically. If you disagree with these changes, you should cease using the Platform and/or Services at that point.

For business and operational reasons, we reserve the right to limit access to our Platform, either wholly or partially. Our Platform and services may not be available or uninterrupted at all times, and we will make reasonable efforts to promptly notify you of any such suspension or withdrawal.

Severability

If a court or other authority determines that one of these Terms is illegal or unenforceable, the remaining terms will remain in effect. If a part of a term that is illegal or unenforceable could be legal or enforceable if removed, that part will be severed, but the rest of the term will continue to apply.

Force Majeure

You acknowledge that we are not liable if we violate these terms due to unforeseen circumstances beyond our control, such as a communication system failure, system breach or virus, sabotage, natural disasters, civil commotion, strikes, riots, war, government actions, or unauthorized access to computer data. In such instances, we will be granted a reasonable extension, and we will use reasonable means to communicate the Force Majeure Event and mitigate its impact.

Governing Laws And Jurisdiction

Any dispute arising from these Terms must be brought to a court in India, and Indian laws will govern the interpretation and enforcement of these terms.
